29th July SP No.2 Meeting Report

- The number of attendees for the English Presentation held at 2:00pm and 3:30pm was 140 pax and 70 pax respectively. The number of attendees for the Chinese Presentation at 5:00pm was 52 pax. Thus, the total number of attendees is 262.
- Mr. Daniel Ong of Dennis Wee Realty gave a detailed marketing presentation for the collective sale. The presentation includes the following: The Collective Sale Process, Scope of Services, Residual Land Value of Bedok Court, Sale Proceed Method of Apportionment, Competitive Market Analysis, Mode of Sale, Project Time line, Marketing Plan.
- Mr. Kenneth Tan of Asia Law Corporation and Mr. Troy Yeo of Dominion LLC were also present to answer to inquiries on legal matters on the collective sale.

12th July Meeting Report
(date: 2007.7.13)
- The informal collective sale discussion meeting started at 8:05pm.
- More than 140 Subsidiary Proprietors (SPs) attended the meeting.
- 96 Subsidiary Proprietors (SPs) signed on the petition forms asking the MCST to convence an Extra Ordinary General Meeting (EOGM) to seek consensus from all the Bedok Court SPs to proceed with the Collective Sale of Bedok Court Condominium and to elect Sales Committee members for the Collective Sale.
- The petitions for EOGM were submitted to the Bedok Court Managing Agent (M.A.) on 13th July 2007.
- The tentative date for EOGM is on Saturday, 4th August 2007, commencing 10:00am. (According to the Strata Title Board, a minimum of 30% share value must be present by 10:00am on the day of the EOGM failing which the M.A. can immediately call-off the meeting due to insufficient quorum.)
- Thanks to the Solicitors from Asia Law Corporation (Mr. Kenneth Tan) & Dominion LLC (Mr. Troy Yeo) and Marketing Consultants (Mr. Daniel Ong & Lionel Ng) of Dennis Wee Realty for addressing the inquiries from the SPs on the collective sale matters on a voluntary & without obilgation basis.

ADVOCATES & SOLICITORS
SOLICITOR'S SCOPE OF WORK:
- To advise Subsidiary Proprietors (SPs) on legal aspects of the Collective Sale
- To advise on the terms and conditions on the appointment of the Marketing Agents
- To liaise with the marketing agents, pro-tem sales committee and the Sales Committee on all matters relating to the collective sale
- Preparation of the “Collective Sale Agreement"
- Attending to the execution of the Collective Sale Agreement
- Preparation of the Tender Document
- Conducting land office searches and bankruptcy searches
- Liaising with the discharging mortgagees / chargees in the discharge of the encumbrances in respect of the units
- Liaising with solicitors of the successful buyer on the matters relating to the collective sale
- Preparation of the letters to the Commissioner of Stamp Duties and the completion account in the event of a successful sale
- Attending to the execution of the Transfers by the SPs and the completion of the collective sale
- If Strata Title Board (STB) Order is required for the collective sale, to prepare all such documents as shall be required for the advertisements and submission of STB Application and to represent the Majority SPs in the STB proceedings and hearings and all matters arising therefrom
- If the SP has an existing tenancy on his unit, to render assistance and advice to such SP should he require to give the tenant notice of termination of tenancy
- To furnish to each SP a completion account exclusively for his unit and to pay the net sale proceeds due to him thereunder within three (3) working days from the date of legal completion of the collective sale
- To pay to each SP his unit’s retention sum and fixed deposit interest thereon within three (3) working days from the date of delivery of his unit to the purchaser
- Generally to act with due diligence and to carry out all such legal conveyance works as shall be required for the completion of the collective sale.
SOLE MARKETING AGENT
Sole Marketing Agent: (1) SERVICES:
As the Sole Marketing Agent, to provide advice and assistance to the following:
1.1 PRELIMINARY STAGE
- Answer queries on collective sale matters
- Provide indicative land price and regular updates / reviews
- Provide advisory service on best terms and conditions of sale, and the sale apportionment method
- Assist in the appointment of a competent solicitor and advice on legal fee quantum
- Assist in the drafting of the Collective Sales Agreement
- Conduct survey to determine Bedok Court Subsidiary Proprietors’(SPs) response to collective sale
- Confirm the feasibility of the Collective Sale of Bedok Court Condominium
1.2 CONFIRMATION STAGE
- Assist the lawyers to conduct presentation to explain the terms and conditions of Collective Sales Agreement to all Bedok Court Subsidiary Proprietors.
- Review indicative land price and recommend the Reserved Price, the sale apportionment method
- Secure the SPs consent to the collective sale and arrange the signing of the collective sales agreement
- Seek to understand the minority SPs concern and suggest ways to address them
- Encourage the minority SPs to participate in the collective sale
- Not to caused discomfort to SP whom is adamant not to join in the collective sale
- Secure the 80% consent in the shortest possible time
1.3 MARKETING STAGE
- Aggressively market the property in Singapore and internationally, to maximize the sale price
- Prepare property particulars to be sent to potential buyers
- Assist the lawyers in the legal documentation
- Co-ordinate the media advertising campaign
- Personally contact selected developers and investors, both domestic and regionally.
1.4 AWARD OF SALE
- Analyse the offers and explain the terms and conditions of the sale
- Advise on the best offer
- Assist in both the relocation and re-investment plan, if necessary
1.5 APPLICATION TO STRATA TITLE BOARD (STB)
- Assist the lawyer in the application to the STB
- Provide professional opinion, if required, to the STB

- At 8:08 pm, the SPs attendance for the meeting exceeded 140.
- 96 SPs signed on the petitions asking MCST 1130 to hold EOGM to seek SPs consensus to proceed with the Collective Sale of Bedok Court, to elect the Sales Committee, to authorise the Sales Committee to appoints the Marketing Agents and Solicitors for collective sale matters, to allow the Sales Committee access to the facilities, at no charge.
- The prospective Marketing Agents & Solicitors were present to give more information on the collective sale matters.
- 3 pages of handout(En-bloc Sale Sequence of Events, Sale Proceeds Approtionment Schedule & Estimated Time Line) were distributed to more than 140 SPs.

BCPTM met with Mr. Kenneth Tan of Asia Law Corporation and Mr. Troy Yeo of Dominion LLC. Kenneth gave a very detailed presentation on the following:
- Procedures for a successful en-bloc sale,
- the legal aspect of the Collective Sale Agreement,
- duties of the Sales Committee,
- method of apportionment for the sale proceeds
- the services and conditions of appointment of Solicitors and Marketing Agents.

Savills Singapore declined to submit bid for Bedok Court Condominium Collective Sale. Savills is working on a few Collective Sale projects now and is unable assist.

BCPTM booked the Function Room at Blk 295 on 21st July 2007 from 2.00pm to 5.00pm for SP meeting to discuss on Bedok Court Condominium Collective Sale.

BCPTM discussed with Charles Hoon & Bernard Goh of CB Richard Ellis on the feasibility of Collective Sale project for Bedok Court Condo. Charles stressed that Time is of essence for the Collective Sale project to be successful due to present HOT market for residential properties & impending regulation amendments, also at what price will the Subsidiary Proprietors (SP) be willing to do the Collective Sale.
Numerous attempts were made by Heng to contact Steven Tan of Knight Frank Investment, but to no avail.
